Welcome to Cosmic Canvas. These Terms and Conditions govern your use of our custom iOS application development services, including mobile application design, UI/UX for iOS, backend integration for mobile apps, iOS app maintenance and support, and quality assurance and testing for iOS. By engaging with our services, you agree to comply with and be bound by these terms. Please read them carefully.

By accessing or using any of our services, you confirm your agreement to be bound by these Terms and Conditions. If you do not agree to all the terms and conditions of this agreement, then you may not access our services.

Payment schedules and terms will be specified in the individual SOW or project agreement. Unless otherwise agreed, a deposit may be required before commencing work, with subsequent payments linked to project milestones or on a recurring basis for ongoing services. All invoices are due upon receipt unless otherwise stated.

5. Intellectual Property

Upon full and final payment for the services, the intellectual property rights for the custom iOS application developed by Cosmic Canvas will generally transfer to the client. Cosmic Canvas may retain certain rights to tools, methodologies, and pre-existing code that form part of our standard development practices. Specifics regarding intellectual property ownership will be detailed in the SOW or project agreement.

6. Confidentiality

Both Cosmic Canvas and the client agree to keep confidential all non-public information shared during the course of the project. This includes, but is not limited to, business plans, technical data, designs, and financial information. This obligation of confidentiality shall survive the termination of any agreement.

7. Warranties and Limitation of Liability

Cosmic Canvas warrants that its services will be performed in a professional and workmanlike manner, in accordance with generally accepted industry standards. To the maximum extent permitted by law, Cosmic Canvas shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the services; (b) any conduct or content of any third party on the services; or (c) unauthorized access, use or alteration of your transmissions or content.

8. Termination

Either party may terminate a project or service agreement if the other party breaches any material term of these Terms and Conditions or the relevant SOW, and fails to remedy such breach within a specified period after receiving written notice. Termination details, including any penalties or outstanding payments, will be outlined in the SOW.

9. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

10. Amendments

Cosmic Canvas reserves the right to modify or replace these Terms and Conditions at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
